Service Agreements

Specific services will be governed by individual service agreements or statements of work ("SOW") that outline the scope, deliverables, timelines, and pricing. In case of any conflict between these Terms and Conditions and a specific service agreement, the service agreement shall prevail for that specific engagement.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of services, except as may be specified in a signed service agreement.

User Accounts and Responsibilities

When you create an account with us or engage our services, you must provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials and passwords
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring your account information remains accurate and up-to-date

Client Obligations

As a client, you agree to provide timely feedback, approvals, and materials necessary for project completion. Delays in providing required materials or approvals may result in project timeline adjustments and additional charges. You warrant that any materials you provide do not infringe on any third-party rights.

Intellectual Property Rights

Spoctech Solutions Intellectual Property

The website and its original content, features, functionality, design, code, and branding are and will remain the exclusive property of Spoctech Solutions. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Spoctech Solutions.

Client Work Product

Upon receipt of full payment for a project, and unless otherwise specified in the service agreement, you will own the final deliverables created specifically for you. Spoctech Solutions retains the right to use the work in its portfolio and for promotional purposes unless you specifically request otherwise in writing.

Pre-Existing Materials

Any tools, frameworks, libraries, templates, or other pre-existing materials used in the creation of your project remain the property of Spoctech Solutions or their respective owners. You receive a non-exclusive license to use such materials as incorporated in the final deliverable.

Payment Terms and Conditions

Payment terms will be specified in individual project proposals or service agreements. General payment terms are as follows:

• A deposit (typically 50%) is required before commencement of any project
• Remaining balance is due upon project completion and before final delivery
• Monthly retainer services are billed in advance at the beginning of each month
• All invoices are due within 15 days of invoice date unless otherwise agreed
• Late payments may incur interest charges at 2% per month on the outstanding balance

Refund Policy

Deposits are non-refundable once work has commenced. If you cancel a project after work has begun, you will be responsible for payment for all work completed up to the cancellation date. Refunds for completed work are not provided except in cases where we have failed to deliver the agreed-upon services.

Price Changes

We reserve the right to modify our pricing at any time. Any changes will not affect projects already under a signed agreement, but will apply to new projects and contract renewals.

Prohibited Activities

You agree not to use our website or services for any unlawful purpose or in any way that could damage, disable, overburden, or impair our services. Prohibited activities include:

• Violating any applicable local, state, national, or international laws or regulations
• Engaging in any activity that constitutes intellectual property infringement
• Attempting to gain unauthorized access to our systems, servers, or networks
• Transmitting malware, viruses, or any other malicious code
• Collecting or harvesting personal data about other users without consent
• Using our services to send unsolicited communications or spam
• Impersonating any person or entity or misrepresenting your affiliation

Disclaimers and Warranties

No Warranty

Performance Guarantees

While we strive to deliver high-quality results, we cannot guarantee specific outcomes from our digital marketing services, including search engine rankings, traffic volumes, or conversion rates, as these are subject to factors beyond our control including algorithm changes, market conditions, and competitor activities.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Spoctech Solutions, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

• Loss of profits, revenue, data, goodwill, or other intangible losses
• Business interruption or loss of business opportunities
• Unauthorized access to or alteration of your transmissions or data
• Statements or conduct of any third party on our service
• Any other matter relating to the services, even if we have been advised of the possibility of such damages

Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the amount paid by you for the specific service giving rise to the claim in the three months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Spoctech Solutions and its licensors, service providers, employees, agents, officers, directors, and shareholders from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms and Conditions

• Your violation of any third party rights including intellectual property rights
• Any content you submit, post, or transmit through our services
• Your violation of any applicable laws or regulations

Communication and Notification Consent

Please note that opting out of marketing communications will not affect transactional communications related to your active service agreements with us.

Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms and Conditions. Upon termination, your right to use our services will cease immediately.

Effect of Termination

All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

Client-Initiated Termination

You may terminate any ongoing service agreement by providing 30 days written notice to info@spoctechsolutions.shop. Termination does not release you from payment obligations for services already rendered or in progress.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, particularly the state of Rajasthan, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Jaipur, Rajasthan, India.

Dispute Resolution Process

In the event of any dispute, both parties agree to first attempt to resolve the matter through good-faith negotiation. If negotiation fails within 30 days, the dispute shall be submitted to mediation before either party may initiate legal proceedings.

Changes to Terms and Conditions

We reserve the right to modify these Terms and Conditions at any time. We will notify you of significant changes by posting the updated terms on our website and updating the "Last Updated" date. Your continued use of our services after such notification constitutes your acceptance of the revised terms.
